These Terms of Service ("Terms") govern your use of the FormLLC.ca website and services (the "Service"), operated by Middleman Marketing Ltd. ("we", "us", "our"). By placing an order or using the Service, you agree to these Terms.
1. Service Description
FormLLC.ca is a document preparation and filing service that assists individuals — primarily Canadians — with the formation of US Limited Liability Companies in Wyoming. We prepare and submit standard formation documents to the Wyoming Secretary of State and prepare and submit IRS Form SS-4 to obtain an Employer Identification Number (EIN) on your behalf.
We are not a law firm. We do not provide legal, tax, accounting, or financial advice. Use of our Service does not create a lawyer–client relationship. For legal or tax advice specific to your situation, you must consult a qualified, licensed professional in your jurisdiction.
2. Your Responsibilities
You are responsible for providing accurate, complete, and truthful information. Filings rely on the information you submit. Errors, omissions, or misrepresentations in the information you provide may result in delays, additional fees from government agencies, or rejection of your filing.
You confirm that you are at least 18 years of age, that you are legally permitted to form a business entity, and that the purpose of your LLC is lawful.

What is not included
- Legal or tax advice of any kind
- Annual report filings or renewals beyond the first year
- Bookkeeping, accounting, or tax return preparation
- Bank account opening, payment processor setup, or any third-party account creation
- Trademark searches, intellectual property filings, or business licensing
- Translation or notarization services
4. Payment
All prices are listed in US dollars and are payable in full at the time of order. Payments are processed by Stripe; we do not store full payment card information. By placing an order, you authorize us to charge the listed amount.
5. Refund Policy
You may request a full refund at any time before your filing has been submitted to the Wyoming Secretary of State. Once a filing has been submitted, state filing fees are non-refundable because they have been paid to the State of Wyoming on your behalf. The remainder of your fee, if any, may be refunded at our discretion based on work already performed.
If your Wyoming filing is rejected for any reason within our control, we will refile at no additional charge or, at your option, issue a full refund.
6. Turnaround Time
Our target turnaround is ten (10) business days from the date you complete the intake form and provide your SIN. This target depends on the processing times of the Wyoming Secretary of State and the Internal Revenue Service, both of which are outside our control. We do not guarantee a specific delivery date, and delays caused by government agencies, force majeure, or incomplete information from you are not our responsibility and are not grounds for a refund.
7. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability arising out of or relating to the Service is limited to the amount you paid for the Service. We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost business opportunities, tax liability, or regulatory penalties.
8. Privacy and Data
Your personal information is handled in accordance with our Privacy Policy. Your Social Insurance Number is collected only via a separate encrypted submission and is used solely to complete IRS Form SS-4. It is deleted from our systems after the EIN has been issued.
9. Termination
We may refuse, suspend, or terminate service to any customer at our discretion, including if we believe an order is unlawful, fraudulent, or otherwise inconsistent with our standards. If we terminate service before work has begun, we will issue a full refund.
10. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time of your order applies to that order. Updates will be posted on this page with a revised effective date.
11. Governing Law
These Terms are governed by the laws of the Province of Manitoba, Canada, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or the Service shall be brought in the courts of Manitoba.
