Please read this disclaimer carefully before using FormLLC.ca. By using our website or services, you acknowledge and agree to the following:
FormLLC.ca is not a law firm
FormLLC.ca is a document preparation and filing service operated by Middleman Marketing Ltd., a Canadian company. We are not a law firm, we are not licensed to practice law in any jurisdiction, and we are not registered as legal services providers in any province or state.
We do not provide legal advice
Nothing on this website, in our emails, in our guides, or in any communication from FormLLC.ca constitutes legal advice. The formation of a Limited Liability Company is a service that prepares and files standard documents — it is not legal consultation. If you need legal advice about your specific situation, you must consult a licensed lawyer in the appropriate jurisdiction.
We do not provide tax advice
Nothing on this website, in our emails, in our guides, or in any communication from FormLLC.ca constitutes tax advice. Cross-border tax matters — including but not limited to your obligations under Canadian tax law, US tax law, the Canada–US Tax Treaty, IRS Form 5472, Form 1120, Form 8832, GST/HST, sales tax, and any disclosure obligations to the Canada Revenue Agency — are your sole responsibility. If you need tax advice about your specific situation, you must consult a licensed accountant, CPA, or tax lawyer with cross-border expertise.
Forming an LLC is not legal or tax consultation
The fact that we form an LLC for you does not mean we have reviewed, evaluated, or approved the legal or tax implications of doing so for your particular circumstances. We do not screen for, identify, or warn you about issues that a lawyer or accountant would identify. The choice to form an LLC, the choice of state, the choice of entity type, the choice of membership structure, and all downstream consequences are entirely your responsibility.
Your cross-border tax obligations are your responsibility
Canadian residents who own foreign business entities have disclosure and tax obligations. Forming a US LLC may trigger Canadian tax reporting requirements, US tax reporting requirements, or both. We strongly recommend that every customer consult a qualified cross-border tax professional before and after forming their LLC. We assume no responsibility for any tax liability, penalty, interest, or compliance issue arising from your ownership or operation of an LLC.
No guaranteed outcomes
We do not guarantee that forming an LLC will achieve any particular legal, tax, financial, or business outcome. We do not guarantee asset protection, tax savings, banking eligibility, payment processor approval, or business success. We do not guarantee approval by the Wyoming Secretary of State or the Internal Revenue Service, and we are not responsible for processing times or policy changes at either agency.
Consult qualified professionals
For legal questions, consult a licensed lawyer. For tax questions, consult a licensed accountant or tax professional, ideally one with cross-border (Canada–US) expertise. We are happy to refer you to professionals in our network upon request.
